Startup-specific questions

Yes, but with caveats. European VCs are comfortable with Bulgarian entities, and many funds explicitly invest in companies across all EU jurisdictions. However, US VCs typically prefer Delaware C-Corps. If your plan is to raise primarily from US investors, Delaware may be better. For bootstrapped startups, EU-focused companies, or those raising from European VCs, Bulgaria is an excellent choice. You can also create a US holding company later if needed.
Yes. A Bulgarian OOD (the multi-owner version of EOOD) can have multiple shareholders with defined equity splits. Share transfers are done via notarized agreement and registered with the Trade Register. For more complex equity structures (vesting, ESOP), you may want to consider converting to an AD (joint-stock company) or using a holding structure. We can advise on the best approach for your situation.
Bulgaria is a full EU member, which means your IP rights are protected across the entire European Union. You can register EU trademarks (EUTM) and EU designs through the EUIPO. Patents can be protected via the European Patent Office. Bulgaria also participates in all major international IP treaties (WIPO, Paris Convention, PCT). Your Bulgarian company holds IP the same way any EU company would.
Estonia's advantage is e-Residency (digital ID) and 0% tax on retained earnings. Bulgaria's advantages: lower effective tax when you take profits (14.5% vs 20%), lower minimum capital (€1 vs €2,500), and significantly lower ongoing costs (accounting, social contributions). Estonia is better if you plan to reinvest every euro and never take dividends. Bulgaria is better if you want to pay yourself — which most bootstrapped founders do.
Yes. As a Bulgarian EU company, you're eligible for Horizon Europe, EIC Accelerator, Eurostars, and other EU-level funding programs.
